1. Your Acceptance
Hellonwater.com is a social networking website designed for, and owned by, Zodiac of North America, Inc., 540 Thompson Creek Drive, Stevensville, MD 21666, 410-643-4141.
A. By using and/or visiting this website, you acknowledge your agreement to (1) these terms and conditions (the "Terms of Service"), (2) Hellonwater.com’s privacy notice, found at http://www.hellonwater.com/privacy and incorporated here by reference, and (3) Hellonwater’s Community Guidelines, found at http://www.hellonwater.com/community_guidelines and also incorporated here by reference. If you do not agree to any of these terms, please do not use the Hellonwater Website.
B. You should periodically review the most up-to-date version—http://www.hellonwater.com/tos. Hellonwater may, in its sole discretion, modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
2. Hellonwater Website
A. These Terms of Service apply to all users of the Hellonwater Website, including users who are also contributors of video content, information, and other materials or services on the website.
B. The Hellonwater Website may contain links to third party websites that are not owned or controlled by Hellonwater. Hellonwater has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. By using the Website, you expressly relieve Hellonwater from any and all liability arising from your use of any third-party website.
C. Accordingly, we encourage you to be aware when you leave the Hellonwater Website and to read the terms and conditions and privacy policy of each other website that you visit.
3. Hellonwater Accounts
A. In order to access some features of the Website, you will have to create a Hellonwater account. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Hellonwater immediately of any breach of security or unauthorized use of your account.
B. Although Hellonwater will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Hellonwater or others due to such unauthorized use.
4. General Use of the Website — Permissions and Restrictions
Hellonwater hereby grants you permission to access and use the Website as set forth in these Terms of Service, provided that:
A. You agree not to distribute in any medium any part of the Website, including but not limited to User Submissions (defined below), without Hellonwater's prior written authorization.
B. You agree not to alter or modify any part of the Website.
C. You agree not to access User Submissions (defined below) or Hellonwater Content through any technology or means other than the video playback pages of the Website itself, the Hellonwater Player, or other explicitly authorized means Hellonwater may designate.
D. You agree not to use the Website for any commercial use, without the prior written authorization of Hellonwater. Prohibited commercial uses include any of the following actions taken without Hellonwater's express approval:
• Sale of access to the Website or its related services on another website;
• Use of the Website for the primary purpose of gaining advertising or subscription revenue;
• The sale of advertising on the Hellonwater website;
• And any use of the Website that Hellonwater finds, in its sole discretion, to use Hellonwater's resources or User Submissions with the effect of competing with or displacing the market for Hellonwater, Hellonwater content, or its User Submissions.
E. Prohibited commercial uses do not include:
• Uploading an original video to Hellonwater, or maintaining an original channel on Hellonwater, to promote your business or artistic enterprise;
• Showing Hellonwater videos on an ad-enabled blog or website, provided the primary purpose of doing so is not to gain advertising revenue or compete with Hellonwater;
• Any use that Hellonwater expressly authorizes in writing.
F. If you use the Hellonwater Embeddable Player on your website, you must include a prominent link back to the Hellonwater website on the pages containing the Embeddable Player and you may not modify, build upon, or block any portion of the Embeddable Player in any way.
G. If you use the Hellonwater Uploader, you agree that it may automatically download and install updates from time to time from Hellonwater. These updates are designed to improve, enhance and further develop the Uploader and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit Hellonwater to deliver these to you) as part of your use of the Uploader.
H. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Website in a manner that sends more request messages to the Hellonwater servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, Hellonwater grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. Hellonwater reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Website, nor to use the communication systems provided by the Website (e.g. comments, email) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Website with respect to their User Submissions.
I. In your use of the Website, you will otherwise comply with the terms and conditions of these Terms of Service, Hellonwater Community Guidelines, and all applicable local, national, and international laws and regulations.
J. Hellonwater reserves the right to discontinue any aspect of the Hellonwater Website at any time.
5. Your Use of Content on the Site
In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of content on the Hellonwater Website.
A. The content on the Hellonwater Website, except all User Submissions (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to Hellonwater, subject to copyright and other intellectual property rights under the law. Content on the Website is provided to you AS IS for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Hellonwater reserves all rights not expressly granted in and to the Website and the Content.
B. You may access User Submissions solely:
• For your information and personal use;
• As intended through the normal functionality of the Hellonwater Service; and for Streaming.
"Streaming" means a contemporaneous digital transmission of an audiovisual work via the Internet from the Hellonwater Service to a user's device in such a manner that the data is intended for real-time viewing and not intended to be copied, stored, permanently downloaded, or redistributed by the user. Accessing User Videos for any purpose or in any manner other than Streaming is expressly prohibited. User Videos are made available "as is."
C. User Comments are made available to you for your information and personal use solely as intended through the normal functionality of the Hellonwater Service. User Comments are made available "as is," and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, downloaded, or otherwise exploited in any manner not intended by the normal functionality of the Hellonwater Service or otherwise as prohibited under this Agreement.
D. You may access Hellonwater Content, User Submissions, and other content only as permitted under this Agreement. Hellonwater reserves all rights not expressly granted in and to the Hellonwater Content and the Hellonwater Service.
E. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions of third parties obtained through the Website for any commercial purposes.
F. You agree not to circumvent, disable, or otherwise interfere with security-related features of the Hellonwater Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Hellonwater Website or the Content therein.
G. You understand that when using the Hellonwater Website, you will be exposed to User Submissions from a variety of sources, and that Hellonwater is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Hellonwater with respect thereto, and agree to indemnify and hold Hellonwater, its Owners/Operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the site.
6. Your User Submissions and Conduct
A. As a Hellonwater account holder you may submit video content ("User Videos") and textual content ("User Comments"). User Videos and User Comments are collectively referred to as "User Submissions." You understand that whether or not such User Submissions are published, Hellonwater does not guarantee any confidentiality with respect to any User Submissions.
B. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize Hellonwater to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service.
C. For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to Hellonwater, you hereby grant Hellonwater a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Hellonwater Website and Hellonwater's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Hellonwater Website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Hellonwater Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, display, and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The above licenses granted by you in User Videos terminate within a commercially reasonable time after you remove or delete your User Videos from the Hellonwater Service. You understand and agree, however, that Hellonwater may retain, but not display, distribute, or perform, server copies of User Submissions that have been removed or deleted. The above licenses granted by you in User Comments are perpetual and irrevocable.
D. In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret, or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Hellonwater all of the license rights granted herein.
E. You further agree that you will not, in connection with User Submissions, submit material that is contrary to the Hellonwater Community Guidelines, found at http://www.hellonwater.com/community_guidelines, which may be updated from time to time, or contrary to applicable local, national, and international laws and regulations.
F. Hellonwater does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Hellonwater expressly disclaims any and all liability in connection with User Submissions. Hellonwater does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and Hellonwater will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. Hellonwater reserves the right to remove Content and User Submissions without prior notice.
7. Account Termination Policy
A. Hellonwater will terminate a User's access to its Website if, under appropriate circumstances, they are determined to be a repeat infringer.
B. Hellonwater reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Hellonwater may remove such User Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.
8. Digital Millennium Copyright Act
A. If you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our webmaster with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

The Website is controlled and offered by Hellonwater from its facilities in the United States of America. Hellonwater makes no representations that the Hellonwater Website is appropriate or available for use in other locations. Those who access or use the Hellonwater Website from other jurisdictions do so at their own volition and are responsible for compliance with local law.
11. Indemnity
You agree to defend, indemnify and hold harmless Hellonwater, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Hellonwater Website; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the Hellonwater Website.
12. Ability to Accept Terms of Service
You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. If you are under 18 years of age, then please do not use the Hellonwater Website.
13. Assignment
These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Hellonwater without restriction.
14. General
You agree that: (i) the Hellonwater Website shall be deemed solely based in Maryland; and (ii) the Hellonwater Website shall be deemed a passive website that does not give rise to personal jurisdiction over Hellonwater, either specific or general, in jurisdictions other than Maryland. These Terms of Service shall be governed by the internal substantive laws of the State of Maryland, without respect to its conflict of laws principles. Any claim or dispute between you and Hellonwater that arises in whole or in part from the Hellonwater Website shall be decided exclusively by a court of competent jurisdiction located in Anne Arundel County, Maryland. These Terms of Service, together with the Privacy Notice at http://www.hellonwater.com/privacy and any other legal notices published by Hellonwater on the Website, shall constitute the entire agreement between you and Hellonwater concerning the Hellonwater Website. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and Hellonwater's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. Hellonwater reserves the right to amend these Terms of Service at any time and without notice, and it is your responsibility to review these Terms of Service for any changes. Your use of the Hellonwater Website following any amendment of these Terms of Service will signify your assent to and acceptance of its revised terms. Personal Information
Non-Account Activity. You can watch videos on Hellonwater without having a Hellonwater Account. You can also contact us about a particular video without having a Hellonwater Account.
Account-Related Activity. Certain other activities on Hellonwater—like uploading videos, posting comments, flagging videos, or watching restricted videos—require you to have a Hellonwater Account. We ask for some personal information when you create a Hellonwater Account, including your email address and a password, which is used to protect your account from unauthorized access.
Usage Information. We may record information about your usage, such as when you use Hellonwater, the channels, groups, and favorites you subscribe to, the contacts you communicate with, the videos you watch, and the frequency and size of data transfers, as well as information you display or click on in Hellonwater (including UI elements, settings, and other information). If you are logged in, we may associate that information with your account. We may use clear GIFs (a.k.a. "Web Beacons") in HTML-based emails sent to our users to track which emails are opened by recipients.
Content Uploaded to Site. Any personal information or video content that you voluntarily disclose online (on discussion boards, in messages and chat areas, within your playback or profile pages, etc.) becomes publicly available and can be collected and used by others.
Uses
If you submit personally identifiable information to us through the Hellonwater Sites, we use your personal information to operate, maintain, and provide to you the general and personalized features and functionality of the Hellonwater Site, and to process any flagging activity or correspondence you send to us.
Your account name (not your email address) is displayed to other Users when you upload videos or send messages through the Hellonwater Sites and other Users can contact you through messages and comments. Any videos that you submit to the Hellonwater Sites may be redistributed through the internet and other media channels, and may be viewed by the general public. If you have enabled Active Sharing, other users may see that you, as identified by your account name (not your email address), are watching the same video.
We do not use your email address or other personally identifiable information to send commercial or marketing messages without your consent or except as part of a specific program or feature for which you will have the ability to opt-in or opt-out. We may, however, use your email address without further consent for non-marketing or administrative purposes (such as notifying you of major Hellonwater Site changes or for customer service purposes).
We use both your personally identifiable information and certain non-personally-identifiable information (such as anonymous user usage data, cookies, IP addresses, browser type, clickstream data, etc.) to improve the quality and design of the Hellonwater Sites and to create new features, promotions, functionality, and services by storing, tracking, analyzing, and processing user preferences and trends, as well as user activity and communications.

Information That Is Publicly Available
When you create an account on the site, some information about your account and your account activity will be provided to other Users of the site. This may include the date you opened your account, the date you last logged into your account, your age (if you choose to make it public), the country and the number of videos you have watched.
Your account name (not your email address) is displayed to other Users when you engage in certain activities on the site, such as you upload videos or send messages through the Hellonwater Sites.
Other Users can contact you through messages and comments.
You may also choose to add personal information that will be visible to other Users on your channel page (which is the public facing page for your account on the site). This may include a profile picture, you name, gender, relationship status, or other details.
If you choose to add certain features to your channel page, then these features and your activity associated with these features will be displayed to other Users and may be aggregated and shared with your confirmed friends or other Users. Such shared activity may include what videos you favor, what videos you rated and what videos you have uploaded.
Any videos that you submit to the Hellonwater Sites may be redistributed through the internet and other media channels, and may be viewed by the general public. If you have enabled Active Sharing, other users may see that you, as identified by your account name (not your email address), are watching the same video.
Your Choices
You may, of course, decline to submit personally identifiable information through the Hellonwater Sites, in which case you can still view videos and explore the Hellonwater Sites, but Hellonwater may not be able to provide certain services to you.
You may update or correct your personal profile information and email preferences at any time by visiting your account profile page.

Respect the Hellonwater Community
Hellonwater was designed for Operators, so we’re not asking you to be on your best behavior, just don't abuse the site. Every new element involves a certain level of trust. We trust you to be responsible, and millions of users respect that trust, so please be one of them.
We Review Videos
We review postings to determine whether they violate our Terms of Use. If we disallow or remove your video after reviewing it, you can assume that we removed it purposefully. We will attempt to notify you via email, but as the site may experience rapid growth, that may not be feasible.
Don't Cross the Line
Here are some common-sense rules that will help you steer clear of trouble:
Hellonwater is not for pornography or sexually explicit content. If this describes your video, even if it's a video of yourself, don't post it on Hellonwater. Also, be advised that we work closely with law enforcement and we report child exploitation.
Don't post videos showing bad stuff like animal abuse, drug abuse, or bomb making.
Graphic or gratuitous violence is generally allowed. Let’s not give the bad guys any information they can use against us.
Out of respect for the dead, don’t post videos of identifiable dead people.
Respect copyright. Only upload videos that you made or that you are authorized to use. This means don't upload videos you didn't make, or use content in your videos that someone else owns the copyright to, such as music tracks, snippets of copyrighted programs, or videos made by other users, without necessary authorizations. Read our Copyright Tips for more information.
Hellonwater is NOT a free speech site, nor do we defend everyone's right to express unpopular points of view. If you don’t like the military, go somewhere else! We don't permit hate speech (speech which attacks or demeans a group based on race or ethnic origin, religion, disability, gender, age, veteran status, and sexual orientation/gender identity). Good humored ribbing about competitive branches of the military is allowed, provided it does NOT escalate.
There is zero tolerance for predatory behavior, stalking, threats, harassment, invading privacy, or the revealing of other members' personal information. Anyone caught doing these things may be permanently banned from Hellonwater.
Everyone hates spam. Do not create misleading descriptions, tags, titles or thumbnails in order to increase views. It's not okay to post large amounts of untargeted, unwanted or repetitive content, including comments and private messages.
In the end, this is website for a community of operators and their families. Don't try to look for loopholes or try to lawyer your way around our guidelines—just understand them and try to respect the spirit in which they were created. Violations of the Terms of Use will result in the termination of your account and deletion of all your videos. We decide whether we believe your violation of our Terms of Use should result in termination of your account. If you have an account terminated you are prohibited from ever signing up for another account!
Hellonwater is for boat operators and maritime warriors!
Remember that this is your social network! Each and every user makes the site what it is, so don't be afraid to dig in and get involved! There's a lot here to see -- Operators make amazing video!
Grab some gear and make your own videos. Feedback's part of the experience, and when done with respect, can be a great way to make friends, share stories, and make your time on Hellonwater better. So leave comments, rate videos, make your own responses to videos that affect you, enter contests of interest—there's a lot going on and a lot of ways to participate here.
